Trust & Respect

We are respectful of the trust that each member places in the group. We violate this value when we leak information from the group or try to go around the deal lead who is bringing a deal by contacting the company directly. Not only is it unlikely you will be able to invest directly by doing this, it could cause the deal to fall through for everyone else.

Generally speaking, don't take any actions that result in endangering the deal for other people in the group or the deal lead.

Transparency

Be radically transparent. We are transparent about co-investing. We violate this value when we omit or change deal terms. Clearly articulate the entity you are investing from in the pledge sheet. If there are any possible conflicts of interest, please always disclose these.

Collective growth

We want to succeed together as a group. For deal leads, this means please only bring deals you are personally investing in. Bringing deals with carry is allowed, but one way we want to boost the quality of deals brought to Allocations Angels, is by only allowing deals the deal lead personally believes in.

For our other members, again this means we don't want anyone sniping allocations from other members through whatever actions. We want everyone to have a chance to invest in great companies. In terms of who gets what allocation for hot deals ultimately the deal lead will make the final decision.

Participation

We try to foster a community where everyone contributes and will occasionally remove members who aren't active. People can contribute to the group in many different ways.

Getting Started

How do I apply?

To apply for membership, please visit allocations.capital and enter your Name, email and referral.

If you were referred by an existing member of our group, please enter this information in your application. Upon review, we will send you an invite to our Slack channel.

How do I get started?

#-announcements:

In this channel, all important group announcements will be shared. We also post information about which deals are opening and which ones have successfully closed.

#-introductions:

This is where new members introduce themselves. Tell us who you are and what you are currently doing, which fields and stages you typically invest in and enjoy getting to know the other members.

#-prospects:

If you have a deal you want to bring to the group or want to check out what deals others are currently bringing, this is the place to be.

If you are looking to invest in a deal someone else is bringing, be sure to signal you are interested in a deal by using the thumbs up emoji and you will be invited to that deals’s channel later.

You can find more information on how to present a deal to the prospects channel here. For deals where you are charging carry. Please post them in #dd-prospects-carry.

Are you hosting a talk or event, you would like to present to our members. Feel free to use this channel to bring attention to it and interact with the community.

#-dd-channels:

As you will notice, we have a lot of dd-channels. These channels are made per specific deal for the community to do group due diligence.

By using a “wisdom of the crowd” approach, our users can share thoughts about potential investments. Group due diligence calls will also be organized in this channel, as well as the pledges for the deal. The minimum pledge for most deals is $1000.

All updates about deals will also appear in the respective dd-channels. Sometimes we will make these channels private after a deal closes as sensitive investor-only updates may be shared here.

How do I join new channels?

Most deal channels are private. To be invited to a private deal channel hit like on the post in #prospects or #prospects-carry that describes the deal you are interested in.

Our team periodically looks at these likes and invites people to the channel. If you do not receive an invite after 24 hours, feel free to DM us to be added. Also keep in mind, ultimately who gets added to a private deal page is at the discretion of the fund manager, who may restrict the deal to a more limited crowd.

How do I download Slack?

First things first. You may still need to download Slack.

Slack can be used on your desktop, laptop, mobile phone or via the web application.

How do I bring a deal to the group?

To post a deal, go to #prospects or #prospects-carry.

Please use the below format. Any posts not following the format will be deleted.

Can I advertise a deal outside the Slack?

Most deals brought to the Slack group have been 506b deals, which can be freely shared with a select group of people that have a pre-existing relationship. Advertising your deal outside of the Slack group (and investors you had a pre-existing relationship with) is only allowed if your deal is a 506c deal.

Both 506b and 506c deals are generally exclusive to accredited investors. One large difference between the two is that 506c require each investor to provide proof of accreditation, as opposed to 506b deals where users self-accredit. It is important to note that a deal can start as a 506b deal and be switched to a 506c deal, but the reverse does not apply.

Once a deal is established as a 506c deal, a fund manager cannot change it to a 506b deal.

How do I invest in a deal?

Each dd channel will have a final pledge sheet where you can type the amount you want to invest in the deal. This link can be found underneath the title of the channel page. Our onboarding team will reach out to you to complete the investment on the Allocations platform when the deal is closing.

Can I bring a deal with carry?

Yes. Post the deal in #prospects-carry and clearly communicate the exact terms.

What is the etiquette for posting in the prospects channel?
  • If you are a deal lead, please keep all posts related to your deal in the thread about your deal.
  • Please do not use the "Also send post to channel" function when providing updates on your deal as this does not help the readability of the prospects channels. You can of course communicate any updates about your deal in the dedicated deal channel as well.
  • Please do not use the @-channel function to communicate minor deal updates unless you have a time urgent thing to communicate about the deal.

If you want to include more information such as Highlights, please add this as a threaded comment to the prospects post.

How do you deal with information leakage?

Information leakage will not be tolerated in our community and actions will be taken if we catch people doing it. Anything that is posted in a public or private channel can however be expected to become public information. Use the private DD channels for more sensitive information although expect there is a chance of information leakage unless you require an NDA. For the more public prospects channels, we advise not to give out too much sensitive information about your deal as it can be seen by everyone in the Slack.

Boundaries and expectations

Can I bring a deal from another platform?

Currently, Allocations Angels only supports SPVs created on https://build.allocations.com

Entering a deal late

If you are entering a deal late / once the allocation is filled, please expect to not get into the deal. It is entirely at the discretion of the fund manager. Please also respect the interests of the LPs who have already pledged.

Can I share information on deals with people outside the Slack?

Unless you have explicit approval from either an admin and/or the deal lead, under no circumstance can you share confidential information about a deal outside the Slack. Deal leads are less likely to share exclusive deals with our community, if sensitive information gets shared without permission. Confidentiality is one of the core values of our community and we will take action if people do not adhere to this.

Can I communicate with other members' LPs?

If a member has expressed interest in your deal (thumbs up on the prospect post) or DMed you for that particular deal you can add them to the deal channel.

If I post a deal in prospects, is it guaranteed to go forward?

No. A number of elements determine whether a deal will go forward on Allocations interest. These include:

  • Investor interest: a deal needs to have enough interest from investors to see if it is worth spinning up an SPV for. Generally deals need to have around $200,000 of interest to go forward.
  • Using the Allocations platform: we currently only support deals on the Allocations platform. If a deal is ready to go forward, please provide us with all of the information we need to start going via build.allocations.com.
  • Realistic deadlines: In order to guarantee a smooth process, our team needs at least 7 days before the money needs to be wired to the portfolio company.

Slack etiquette

Can I DM people directly?

No, this is strictly forbidden unless you have a prior business relationship with that person or if they have expressed interest in your deal.

Can I invite Allocations Angels members to join my community?

Please do not advertise your own community/syndicate on the Slack or privately approach our members to join.
